1. Introduction and Agreement

These Terms and Conditions ("Terms") govern your access to and use of the Cashpool.AI software platform, website, and related services (collectively, the "Platform"). The Platform is provided globally by Cashpool.AI Technologies FZE (Sharjah, UAE) and within the European Union by Cashpool CVC (Sofia, Bulgaria), collectively referred to as "Cashpool.AI", "we", "us", or "our".

By registering for an account, executing a SaaS agreement, or accessing the Platform, you (the "Client", "User", or "Enterprise") agree to be bound by these Terms.

2. Description of Services

Cashpool.AI provides a B2B SaaS treasury and wealth operating system designed for Enterprise CFOs and Family Offices. Our core capabilities include:

• Data Aggregation: Unifying multi-currency bank accounts, Net Asset Value (NAV) tracking, and Post-Dated Cheques (PDC) lifecycle monitoring via third-party APIs.
• AI Analytics & Forecasting: Utilizing our proprietary, self-hosted AI models (including TII Falcon H1R) to analyze cash flow, project liquidity gaps, and monitor FX exposure.
• Sharia-Compliant Discovery: Providing an AI-driven discovery board for Sharia-compliant instruments (e.g., Sukuk, Murabaha) and automated Zakat calculations based on user-provided data.

3. Regulatory Status and Non-Financial Entity Acknowledgment

3.1 UAE Operations: Cashpool.AI Technologies (FZE) operates under License No. 11440 issued by the Sharjah Research Technology and Innovation Park (SRTIP), specifically authorized for Artificial Intelligence Developing Services, Innovation & Artificial Intelligence Research & Consultancies, and Artificial Intelligence Training. We do not conduct regulated financial activities under the UAE Central Bank (CBUAE) or the Securities and Commodities Authority (SCA).

3.2 EU Operations: Cashpool CVC operates in the Republic of Bulgaria (EU VAT: BG208611764) as a technology facilitator and software provider, compliant with EU data protection regulations but not functioning as a licensed credit institution or payment service provider under the Payment Services Directive (PSD2).

4. Fees, Payment Terms, and Consumption-Based Billing

4.1 Pricing Models and Billing Structure: The Client agrees to pay all fees specified in the respective fully executed corporate Order Form or SaaS Agreement. Depending on the selected tiered package, Cashpool.AI utilizes a hybrid monetization infrastructure which may include one or more of the following billing metrics:

• Core Platform License Fee (ARR): A fixed annual or monthly recurring subscription fee tiered by the number of managed corporate entities or total Assets Under Management (AUM).
• One-Time Onboarding Fee: A flat setup fee covering technical ERP integration, historical data synchronization, and custom Sharia-governance alignment.
• Connected Bank Account Fee: A recurring capacity-based fee calculated strictly on the total number of live bank accounts connected to the Platform via our integrated MENA and EU Open Banking API interfaces.
• AI Compute / Token-Based Fee: A consumption-based volume charge tracking the specific data units processed by the self-hosted Falcon H1R engine, calculated per million tokens (inclusive of both structured input payloads and AI-generated outputs).
• API Call and Transaction Volume Fee: A usage-based utility fee calculated based on the total number of automated API data queries (requests sent to refresh banking layers) and/or the total volume of raw banking transactions parsed and reconciled by the Platform during the billing cycle.

4.2 Payment and Invoicing Terms: Unless explicitly stated otherwise in the specific corporate Order Form, all fixed subscription fees are invoiced in advance, while all consumption-based metric fees (tokens, connected accounts, API calls, and transaction volumes) are metered dynamically by our internal billing logs and invoiced monthly in arrears. Invoices issued globally by Cashpool.AI Technologies FZE are payable in United Arab Emirates Dirhams (AED) or United States Dollars (USD), and invoices issued within the European Union by Cashpool CVC are payable in Euros (EUR). All payments are due without any deduction or withholding within thirty (30) calendar days from the invoice date.

4.3 Suspension of Service: Cashpool.AI reserves the right to suspend or temporarily restrict access to the Platform, including automated hourly data synchronization pipelines, if the Client's account carries an undisputed overdue balance exceeding fifteen (15) calendar days from the payment due date.

5. Sovereign AI, Data Residency, and Privacy

5.1 Air-Gapped AI: Cashpool.AI operates using privately hosted, sovereign AI models. We explicitly do not transmit your financial data to public commercial AI APIs (such as OpenAI/ChatGPT). Your data remains within our secure infrastructure.

5.2 Data Residency: Data for GCC clients is hosted locally within the UAE to ensure regional sovereignty. EU client data is hosted within the European Economic Area (EEA) in strict compliance with the General Data Protection Regulation (GDPR).

6. Third-Party Integrations and Open Banking

6.1 Licensed API Providers: To display banking data, Cashpool.AI utilizes licensed Open Banking aggregators. By connecting your bank accounts, you explicitly authorize these regulated third parties to fetch your data on a read-only basis or execute transfers via their authorized interfaces.

6.2 Third-Party Failures: Cashpool.AI is not responsible for any downtime, data inaccuracies, or execution failures originating from third-party banks, financial institutions, or API providers.

7. No Financial or Investment Advice

7.1 AI Outputs: Any liquidity forecasts, FX hedging suggestions, or yield optimization insights generated by the Cashpool.AI platform are for informational and scenario-planning purposes only. They do not constitute financial, legal, tax, or investment advice.

7.2 Sharia Compliance: While our platform provides a "Sharia Compliance Center" and Zakat calculators based on algorithmic rules and public Fatwa council data, Cashpool.AI is not a certified Sharia advisory board. Clients are solely responsible for verifying the religious compliance of their investments with their own Sharia scholars.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Cashpool.AI, its founders, directors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Financial losses resulting from trades, FX hedges, or capital deployments initiated after viewing data on our Platform;
• Loss of profits, revenue, or uncalled capital resulting from system downtime;
• Any liabilities arising from the actions or omissions of third-party banks or Open Banking providers.

8.1 Aggregate Liability Cap: In no event shall Cashpool.AI's total aggregate liability to any Client exceed the total fees actually paid by that Client to Cashpool.AI in the twelve (12) calendar months immediately preceding the event giving rise to the claim. Where no fees have been paid (including during Pilot Access periods), the total aggregate liability shall not exceed USD 500.

9. Intellectual Property

All rights, title, and interest in and to the Platform, including but not limited to the source code, UI/UX design, AI algorithms, and the "Cashpool" trademark, are the exclusive property of Cashpool.AI Technologies FZE. Clients are granted a limited, non-exclusive, non-transferable, and revocable SaaS license to use the Platform strictly for internal business purposes.

10. Governing Law and Dispute Resolution

9.1 MENA & Global Clients: For clients contracting with Cashpool.AI Technologies FZE, these Terms shall be governed by and construed in accordance with the laws of the Emirate of Sharjah and the applicable federal laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sharjah, UAE.

9.2 European Union Clients: For clients contracting with Cashpool CVC, these Terms shall be governed by the laws of the Republic of Bulgaria and applicable EU directives. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Sofia, Bulgaria.

11. Pilot Access and Beta Program

10.1 As-Is Basis: Pilot and Beta access to the Platform is provided strictly on an "as-is" and "as-available" basis, without any warranty, uptime guarantee, or Service Level Agreement (SLA) of any kind.

10.2 Modification and Termination: Cashpool.AI reserves the right to modify, suspend, or permanently terminate any Pilot or Beta access at any time, with or without prior notice, and without any liability to the Pilot participant.

10.3 Confidentiality: Pilot participants may not publicly disclose, share, reproduce, or distribute any Platform outputs, dashboards, AI-generated insights, or feature previews to any third party without the prior written consent of Cashpool.AI.

10.4 Feedback: Any feedback, suggestions, or improvement ideas submitted by Pilot participants become the exclusive intellectual property of Cashpool.AI Technologies FZE, without compensation or attribution obligation.

12. Account Registration and Eligibility

11.1 Eligibility: The Platform is intended exclusively for registered business entities and their authorized representatives. Access by individuals acting in a purely personal capacity is not permitted. By registering, you represent and warrant that you are duly authorized to bind the legal entity on whose behalf you are acting.

11.2 Accuracy of Information: You agree to provide accurate, current, and complete information during registration and to update such information promptly if it changes. Cashpool.AI reserves the right to suspend or permanently terminate any account where false, misleading, or incomplete information has been provided.

11.3 Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Cashpool.AI immediately at [email protected] upon becoming aware of any unauthorized use of your account.

13. Amendments to These Terms

12.1 Right to Modify: Cashpool.AI reserves the right to update, amend, or replace these Terms at any time at its sole discretion. The most current version of the Terms will always be published on this page with a revised "Last Updated" date.

12.2 Notice: For material changes, Cashpool.AI will make reasonable efforts to provide at least thirty (30) days' advance notice via email to the registered account address or via a prominent notice on the Platform.

12.3 Acceptance: Your continued access to or use of the Platform following the effective date of any amended Terms constitutes your acceptance of those amended Terms. If you do not agree to the amended Terms, you must cease using the Platform and notify us in writing.

14. Force Majeure

Cashpool.AI shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, governmental regulations, sanctions, cyberattacks, internet or telecommunications infrastructure failures, actions or omissions of third-party Open Banking API providers, banking system outages, or changes in applicable financial regulation that materially affect the operation of the Platform. In such events, Cashpool.AI will use commercially reasonable efforts to resume normal operations as promptly as practicable.
